DEFINITIONS



Landlord’ shall mean as stated above or anyone that they later assign their rights under this agreement to.

Tenant’ shall mean as stated above.

Guarantor’ shall mean as stated above.

Tenancy Agreement’ shall mean the Tenant Agreement entered into between the Landlord and the Tenant dated ${agreement_date} in relation to ${property_address}

Tenancy Obligations’ shall mean and include all obligations placed upon the Tenant in accordance with the terms of the Tenancy Agreement.

Property’ shall mean ${property_address}



AGREEMENT

The Landlord agrees to grant a tenancy to the Tenant in accordance with the terms of the Tenancy Agreement in consideration for the Guarantor guaranteeing:

  1. The payment by the tenant of all rent and other monies lawfully due to the Landlord under the terms of the Tenancy Agreement;

  2. The Performance by the Tenant of all obligations contained or implied within the Tenancy Agreement;



In the event that the Tenant fails to make a payment which is lawfully due to the Landlord under the Terms of the Tenancy Agreement, the Guarantor agrees to pay the full outstanding amount upon receiving written notice of the Tenant’s Default.

In the event that the Tenant fails to comply with the terms of the Tenancy Agreement, the Guarantor agrees to, upon receiving written confirmation of the same, pay to the Landlord all reasonable losses, expenses and damages incurred as a result of the Tenant’s breach.

The Guarantor will pay all legal expenses reasonably incurred by the Landlord in seeking to enforce the terms of the Tenancy Agreement or this Guarantor Agreement.



THIS GUARANTEE

This Guarantee will cover the Tenancy Agreement and any subsequent tenancy entered into between the Landlord and the Tenant relating to the Property. This includes all fixed term and periodic tenancies.

This Guarantee cannot be revoked once signed

This Guarantee is not terminated:



This Guarantee can be assigned to another third party by the Landlord without the consent of any other party.

This Guarantee cannot be transferred or assigned by the Guarantor.

This Guarantee will continue to be operational and enforceable regardless as to any variation in the terms of the agreement between the Landlord and the Tenant including any increases in rent.

This Guarantee will survive the end of the relationship between the Landlord and the Tenant and will remain enforceable despite the termination of the Tenancy or any subsequent tenancies.



DEMANDS

The Landlord shall demand any payment due from the Guarantor in writing. The Demand will be sent to the address stated for the Guarantor on the front page of this Agreement. If the Guarantor moves address, the onus is placed firmly upon them to inform the Landlord. If they do not and as a result they fail to receive communications which ultimately lead to the commencement of proceedings, they acknowledge and accept that they were correctly and validly served at the address stated within this agreement.

Any change of address should immediately be communicated to the Landlord in writing and sent by registered post.



PROCEEDINGS

The Guarantor understands that if a payment becomes due from them under the terms of this Agreement and is not paid, Court proceedings will be commenced against them to recover the sum due.



JURISDICTION

The Parties accept and agree that any dispute arising in relation to this Agreement will remain within the Jurisdiction of England and will be decided by the English Courts.



SEVERANCE

If a Clause of this Agreement is determined by any court or other competent authority to be unlawful and/or unenforceable, the other Clauses of this Agreement will continue in effect. If any unlawful and/or unenforceable Clause would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the Clause will continue in effect (unless that would contradict the clear intention of the parties, in which case the entirety of the relevant Clause will be deemed to be deleted).



WHOLE AGREMENT

This document together with the Tenancy Agreement (and any subsequent tenancy agreements or written variations in rent) constitutes the entirety of the agreement between the parties. It supersedes any prior representations which may have been made, whether orally or in writing. Any modification to this agreement must be made in writing and signed by both parties.
